Terms of Use & Disclaimer

Agency OS (the “Platform”) is an internal operations and client management system developed and operated by Simple Media Pty Ltd (“Simple Media”, “we”, “us”, or “our”), a web design and digital agency based in Penrith, NSW, Australia.

The Platform is made available exclusively to authorised Simple Media employees and contractors for the purpose of managing client relationships, projects, hosted websites, domains, billing records, and automated workflows. It is not a public-facing product or service and is not intended for use by clients or members of the general public.

Access to the Platform is granted solely to individuals who have been issued credentials by Simple Media management. By accessing the Platform, you confirm that:

• You are an authorised Simple Media employee, director, or contractor
• You will only access data relevant to your role and responsibilities
• You will not share your login credentials with any other person, including other Simple Media staff
• You will not export, copy, or transmit client data outside of the systems and workflows explicitly approved by Simple Media management
• You will report any suspected unauthorised access or data breach immediately to Simple Media management

Unauthorised access to or misuse of the Platform may constitute a criminal offence under the Criminal Code Act 1995 (Cth) and may result in disciplinary action including termination of engagement.

When using the Platform, you must not:

• Access, modify, or delete data that does not fall within your assigned responsibilities
• Use the Platform or any data within it for purposes other than delivering Simple Media’s services to clients
• Attempt to circumvent authentication, access controls, or any security measures
• Introduce malware, scripts, or code designed to interfere with the Platform or its underlying infrastructure
• Use automated tools to scrape, extract, or bulk-download data from the Platform without written management approval
• Disclose client data to third parties (including subcontractors) without appropriate data handling agreements in place

The Platform consolidates data from multiple sources including manual entry, automated syncs (GridPane API, n8n workflows), imported spreadsheets, and AI-assisted research. While we take reasonable steps to maintain accuracy, Simple Media makes no warranty that:

• Data is complete, current, or free from errors at any given time
• Automated syncs reflect real-time state of connected systems (e.g. live server status, plugin versions)
• AI-generated research content (pre-discovery briefs, company summaries) is factually accurate or suitable for commercial decisions without independent verification
• Migrated data from prior systems (Google Sheets, legacy records) is correctly mapped or complete

All staff are responsible for verifying critical data (billing amounts, renewal dates, client contact details) before acting on it, particularly for client-facing communications and financial transactions.

The Platform integrates with AI services including Anthropic Claude and Manus AI to generate research summaries, project briefs, and workflow outputs. You acknowledge that:

• AI-generated content may contain inaccuracies, hallucinations, or outdated information and must be reviewed before use in client communications
• AI outputs are a starting point for human review, not authoritative final deliverables
• Simple Media is not liable for any loss or damage resulting from reliance on unverified AI-generated content
• Company information researched via the AI Research workflow is sourced from publicly available online sources and may not reflect the current state of the business

All software, design, code, workflows, and documentation comprising the Platform are the intellectual property of Simple Media Pty Ltd unless otherwise noted. You may not reproduce, distribute, or create derivative works from any part of the Platform without written permission.

Client data stored in the Platform remains the property of the respective client or Simple Media (as applicable). Storing client data in the Platform does not transfer ownership of that data.

To the maximum extent permitted by Australian law, Simple Media excludes all liability for:

• Loss or corruption of data arising from Platform outages, infrastructure failures, or user error
• Business decisions made in reliance on data stored in or generated by the Platform
• Interruption to business operations caused by Platform downtime or performance issues
• Loss arising from unauthorised access to the Platform if such access results from a user’s failure to protect their credentials

Nothing in these Terms limits any right you may have under the Australian Consumer Law that cannot be excluded or limited by agreement.

The Platform is provided on a best-efforts basis. Simple Media does not guarantee uninterrupted availability and reserves the right to take the Platform offline for maintenance, upgrades, or security remediation at any time. Planned maintenance will be communicated where reasonably practicable.

If you become aware of or suspect any unauthorised access to the Platform, a data breach, or a security vulnerability, you must notify Simple Media management immediately at [email protected]. Do not attempt to investigate or remediate a suspected breach yourself without explicit instruction.

Simple Media will assess any reported incident in accordance with its obligations under the Privacy Act 1988 (Cth), including the Notifiable Data Breaches scheme where applicable.

Simple Media may update these Terms at any time. Changes take effect immediately upon the updated Terms being published at this URL. Continued use of the Platform constitutes acceptance of the revised Terms. Staff will be notified of material changes via Slack or email.

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of New South Wales.
